  1. What stage of the merger are we at?
    On April 28, 2004 the merger in North America between Manulife Financial Corporation and John Hancock Financial Services became official. This means that all necessary approvals have been obtained from industry regulators and John Hancock shareholders and the deal is legally complete.

    Following the completion of the transaction, both PT Asuransi Jiwa John Hancock Indonesia (“John Hancock Indonesia”) and PT Asuransi Jiwa Manulife Indonesia (“Manulife Indonesia”) are wholly-owned subsidiaries of Manulife Financial Corporation.

  2. Why did Manulife and John Hancock want to merge?
    With the global merger, both companies can complement each other in ways that leverage their respective strengths as well as unlock new opportunities for earnings growth. In Canada, Manulife Financial and Maritime Life are among the top insurers in the country; John Hancock is a leading insurer in the United States.

    The combination of John Hancock’s Asian businesses with Manulife’s strong base in Hong Kong, China, Japan and Southeast Asia will expand the operations to 11 countries and territories, resulting in one of the most extensively represented life insurance companies in Asia.

  3. How does this merger benefit both companies and policyholders?
    This merger presents the following benefits :
    • Greatly enhanced scale of operations
    • More diverse and competitive product line
    • Significantly expanded capital base
    • Access to deeper and more diversified distribution capabilities

  4. How big is the “new” company?
    Combined, Manulife Financial (TSX, NYSE, PSE: MFC; SEHK:0945) and John Hancock Financial Services will form the largest life insurance company in Canada, the second largest in North America and the fifth largest in the world, as measured by market capitalization (as of March 15, 2004).

    In Indonesia, the “combined” company will be the 3rd largest life insurer by total assets.

  5. Will anything happen to my policy(ies) with John Hancock Indonesia or Manulife Indonesia?
    The occurrence of the global merger in North America and the subsequent completion of the merger in Indonesia will have no impact on the contractual terms and conditions, rights and obligations of existing policies and contracts. Manulife will continue to honour all contractual terms and conditions, rights and obligations of both John Hancock Indonesia and Manulife Indonesia policies.

  6. Who will be the issuer of my policy after the merger in Indonesia is completed? Will it change?
    For a period following the completion of the global merger, new policies will continue to be issued by Manulife Indonesia and John Hancock Indonesia respectively.

    After completion of merger in Indonesia (which is anticipated to take approximately five months after the global merger), Manulife Indonesia will be the remaining legal entity in Indonesia and all new policies issued from this point onwards will be issued by Manulife Indonesia.

    At the date of completion of merger, all of the existing policies that were issued by John Hancock Indonesia will be automatically transferred to Manulife Indonesia so that Manulife Indonesia will now become the insurer of these policies in place of John Hancock. As a result, all references in any policy, proposal or application issued by John Hancock Indonesia, any trust deed, policy loan agreement or any other document relating to a policy issued by John Hancock Indonesia will then be construed as a reference instead to Manulife Indonesia

    We reiterate that Manulife will continue to honour all contractual terms and conditions, rights and obligations of both John Hancock Indonesia and Manulife Indonesia policies.

  7. How will this impact my investment funds in my investment policies?
    From the date of completion of merger, all property, rights and obligations of the underlying life funds of John Hancock Indonesia will be transferred automatically to Manulife Indonesia.

    The global merger and the completion of the merger in Indonesia will not affect the fund objectives of the products you have invested in.

    Manulife Indonesia has an 18-year history in Indonesia of exceptional fund management. In 2003, through its affiliate: Manulife Asset Management Indonesia (MAMI), Manulife was rated by Bapepam as being the best investment manager in Indonesia

  8. How will I be affected if I want to surrender my policy now?
    We trust that your life insurance plans were purchased with the intention of fulfilling your long-term financial needs. We encourage you to keep your policy in force to meet the protection needs of your family.

    We reiterate that Manulife will continue to honour all contractual terms and conditions, rights and obligations of both John Hancock Indonesia and Manulife Indonesia policies. In other words, this transaction will not impact your policy.

  9. How do I pay my premiums?
    During the period following the formal closing of the global merger in North America and before completion of the merger in Indonesia (a period we expect to be approximately five months), we would ask that you please make your payment payable to the respective company that issued your policy. We will keep you informed of any changes that affect the payment process.
